Terms of Service

1. Acceptance of Terms

By accessing or using services provided by Covala Inc. (“Covala,” “we,” “us,” or “our”), including the Covala API and the covala.com website (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, our API Terms of Use, and our Acceptable Use Policy, each of which is incorporated herein by reference. If you do not agree, do not use our Services.

2. Definitions

  • “API” means the Covala Application Programming Interface, accessible via HTTP requests at designated endpoints.
  • “API Key” means the unique authentication credential issued to you for accessing the API.
  • “Customer” or “you” means the individual or entity that registers for and uses the Services.
  • “Product Data” means the product information available through the API, including product names, specifications, pricing, images, availability, error codes, maintenance schedules, and relationships.
  • “Dashboard” means any web interface provided by Covala for managing API Keys, viewing usage, and configuring account settings, when available.

3. Description of Services

Covala provides:

  • Covala API — a product data API that provides structured product intelligence including specifications, pricing, availability, product relationships, error codes, and maintenance information sourced from publicly available retailer websites and manufacturer documentation.
  • MCP Server — a Model Context Protocol server that enables AI agents and large language models to access product data programmatically.
  • Dashboard — a web interface for managing API Keys, monitoring usage, viewing documentation, and configuring account settings (when available).

4. Account Registration and API Keys

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality and security of your account credentials and API Keys.
  • You must notify us immediately at security@covala.com of any unauthorized use of your account or API Key, or any other security breach.
  • API Keys are issued per project. You may not share API Keys between unrelated projects or with third parties.
  • We reserve the right to revoke API Keys that are compromised, inactive, or used in violation of these Terms.
  • You may not create multiple free-tier accounts to circumvent usage limits.

5. License Grant

Subject to your compliance with these Terms, Covala grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Product Data solely for your internal business purposes or personal use, as applicable to your subscription tier.

6. Data Usage Restrictions

You may not:

  • Resell, redistribute, or sublicense raw Product Data as a competing data service or data feed.
  • Use Product Data to build a product catalog, database, or service that directly competes with Covala.
  • Systematically download or cache the entire Product Data catalog beyond what is necessary for your authorized use case.
  • Use Product Data for price manipulation, anti-competitive practices, or any unlawful purpose.
  • Remove, obscure, or alter any proprietary notices or attribution included with Product Data.

7. User Content

You retain ownership of any content you submit through the Services, including feedback, support requests, and documentation contributions. By submitting content, you grant Covala a non-exclusive, worldwide license to use, store, and process that content solely for the purpose of providing and improving the Services.

8. Product Data Disclaimer

Product Data — including specifications, pricing, availability, maintenance schedules, error codes, and product relationships — is sourced from publicly available retailer websites and manufacturer documentation. It is provided for informational purposes only on an “as-is” and “as-available” basis.

Covala does not guarantee the accuracy, completeness, timeliness, or reliability of Product Data. Prices and availability are point-in-time snapshots and may not reflect current retailer pricing. Always consult manufacturer documentation for critical safety or maintenance decisions.

Covala is not affiliated with, endorsed by, or sponsored by any retailer or manufacturer whose product information appears in the Services.

9. Pricing and Payment

  • API access is available in tiered subscription plans with defined usage limits. Current pricing is published at covala.com.
  • Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law.
  • If you exceed your plan’s monthly quota, we may throttle your access until the next billing cycle or contact you about upgrading.
  • We reserve the right to change pricing with 30 days’ notice. Price changes will take effect at the start of your next billing cycle.

10. Intellectual Property

Covala owns all rights, title, and interest in the Services, including the API, algorithms, data enrichment processes, cleaned and structured Product Data, and all related intellectual property. Original product content (images, descriptions) remains the property of the respective retailers and manufacturers. You own your applications and any works you create using Product Data in accordance with these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, Covala shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Services, even if advised of the possibility of such damages.

Covala’s total aggregate liability for any claims arising from or relating to these Terms or the Services shall not exceed the greater of (a) the amounts you paid to Covala in the twelve (12) months preceding the claim or (b) one hundred US dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Covala and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any content or data you provide through the Services.

13. Termination

  • You may terminate your account at any time by contacting us or using the account deletion feature in the applicable Service.
  • We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law.
  • Upon termination, your right to use the Services ceases immediately. All API Keys will be revoked.
  • We will delete your account data within 90 days of termination, except data we are required to retain by law.
  • Sections 6, 8, 10, 11, 12, and 16 survive termination.

14. Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. For paid subscribers, we will also provide notice via the email address associated with your account at least 30 days before material changes take effect. Continued use of the Services after changes constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in those courts.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, API Terms of Use, Acceptable Use Policy, and any applicable DPA, constitute the entire agreement between you and Covala.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
